1. Acceptance of Terms:

By using the services offered by Xclear Networks, the client agrees to the terms and conditions outlined in this document.

2. Description of Services:

Xclear Networks offers a range of IT outsourcing services. The specific services to be provided will be outlined in the Service Agreement signed by both parties.

3. Payment:

Payment terms, including amounts, due dates, and any potential penalties for late payment, will be as outlined in the Service Agreement.

4. Confidentiality: 

Both parties agree to maintain the confidentiality of all information obtained during the provision of services, except when disclosure is required by law.

5. Data Protection:** 

Xclear Networks adheres to all relevant data protection regulations and will take all reasonable precautions to ensure the client's data is secure.

6. Termination: 

Either party may terminate the Service Agreement with prior notice as specified in the agreement, subject to any termination fees or clauses therein.

7. Warranties: 

Xclear Networks commits to providing its services with a reasonable level of skill and care. However, all services are provided "as is" without any warranty of any kind.

8. Limitation of Liability: 

Xclear Networks shall not be liable for any indirect, incidental, or consequential damages or loss of profits, revenue, data, or use, incurred by the client or any third party, whether in an action in contract or tort.

 

9. Force Majeure: 

Neither party will be responsible for delays or failures in performance resulting from acts beyond their control such as natural disasters, strikes, or power outages.

 

10. Governing Law: 

These terms and conditions will be governed by the laws of Utah/USA, and any disputes will be subject to the exclusive jurisdiction of the courts of Utah/USA.

 

11. Changes to Terms: 

Xclear Networks reserves the right to update or modify these terms and conditions at any time without prior notice. The client's continued use of services following any such change constitutes acceptance of the updated terms.
